The UK Moves Closer to a T+1 Settlement Cycle

The UK’s Accelerated Settlement Taskforce published its report on reforms to the settlement cycle on 28 March 2024. Mirroring the move by all North American markets to a T+1 cycle in May 2024 as well as ongoing EU consultations on a move to the same timing, the report points to consensus that the UK will need to adopt T+1 sooner rather than later. As the report points out, China has operated at T+0 for a number of years, and India has already moved to T+1.

These Are Junk Fees

In the Consumer Financial Protection Bureau’s (“CFPB’s”) most recent Supervisory Highlights, published on April 24th, the agency identified a wide variety of fees that were improperly charged to mortgage borrowers. As compared to other “junk fee” efforts by the CFPB, almost all of the fees identified in this report were charged to the borrower either in violation of their agreement or for reasons that had nothing to do with the borrower’s actions, but instead could be ascribed to mistakes made by their servicers. The New UK Securitisation Rules : A Practical Overview and Comparison

On 30 April 2024, the Financial Conduct Authority (the “FCA”) published Policy Statement PS24/4 (“PS24/4”) setting out the final FCA Securitisation Sourcebook (“SECN”). The CFPB and NCSLT TRUSTS Saga: Movement on the Third Circuit Case and a Second CFPB Enforcement Action

As we reported in our Client and Friends memo last month, the Third Circuit published an opinion on March 19th finding that statutory trusts such as those that make up the National Collegiate Student Loan Trusts (the “NCSLT Trusts”) are “covered persons” for purposes of the Consumer Financial Protection Act (“CFPA”).  We warned that this decision would likely be a precursor to more enforcement actions by the Consumer Financial Protection Bureau (“CFPB”) against statutory trust structures.

The Biden Administration’s “Extensive Review of Interlocking Directorates Across the Entire Economy” May Put Your Board Representation At Risk

May 03, 2024

The identification, investigation and removal of persons who serve as directors or officers of two competing companies (i.e., “horizontal interlocks”) is a significant component of the Biden Administration’s antitrust enforcement agenda. The Department of Justice (“DOJ”) has moved more aggressively to break interlocks, but the Federal Trade Commission’s (“FTC’s”) expansive view of its authority under Section 5 of the Federal Trade Commission Act supports its efforts to prohibit a much broader class of interlocks. While the courts may be skeptical of the FTC’s expansive view of its authority, the FTC has not yet been forced to go to court to validate its reading of the law.
